  1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID OUTSIDE OF THE FIFTY (50) UNITED STATES, THE DISTRICT OF COLUMBIA AND WHERE PROHIBITED OR RESTRICTED BY LAW.

  2. Entry Period: The "Look Different Creator Competition" ("Contest") entry period commences at or around 12:00:01 PM Eastern Daylight Time ("EDT") on June 17, 2015 and ends at 11:59:59 PM (EDT) on October 16, 2015 (the "Entry Period"). All Contest entries must be received by 11:59:59 PM (EDT) on October 16, 2015.

  3. Contest Overview: MTV is looking for groundbreaking, emerging talent to create short digital video projects for MTV's Look Different campaign, which empowers aspiring digital content creators to better recognize and challenge hidden racial, gender and anti-LGBT bias. The campaign explores a number of topics related to bias including stereotypes, microaggressions and privilege (the "Campaign Theme"). Sponsor (hereinafter defined), on behalf of the MTV programming services ("MTV"), is soliciting proposals though this Contest for short digital video projects that would bring a creative new outlook to the subject of privilege as it relates to content creators in today's world. Possible subjects could include such themes as racial, gender and sexual orientation privilege, among others. At the conclusion of the Contest, three (3) winning proposals will be selected by MTV to be produced as short digital video projects, currently anticipated to be between fifteen seconds (:15) and five (5:00) minutes in length by their respective creators and MTV for potential distribution on MTV's vast digital and cross-platform channels.

  4. Eligibility: The Contest is open to legal residents of the fifty (50) United States and District of Columbia who are at least eighteen (18) years and eligible to work in the United States at the time of entry. Entrants (hereinafter defined) who are at least eighteen (18) but deemed to be a minor in the jurisdiction in which they reside will be required to obtain parental or legal guardian consent to be eligible to participate. Failure to provide such consent may disqualify the Entrant. Parent or legal guardian will be contacted by email and must confirm acceptance of these Official Rules, the entry form (and all required documents associated therewith) and that the Entry was completed entirely by participants eighteen (18) years old or older for whom they had legal custody. Collective teams of up to two (2) Entrants are also permitted to enter one (1) Collaborative Entry (hereinafter defined), provided that each member of the submitting Team meets the eligibility requirements set forth in these Official Rules. Entrants must not be, at time of entry, during Entry Period or at time of prize fulfillment and acceptance, a party to any agreement with any studio, production entity, new media company or publishing company or any other third party that might interfere with Entrant's participation in the Contest and/or acceptance of the Grand Prize awarded. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of Viacom Media Networks, a division of Viacom International Inc. ("VMN" or "Sponsor"), and its respective affiliated companies, agents, employees, officers, directors, successors and assigns, sponsors, subsidiaries, advertising agencies, third party fulfillment agencies (collectively, the "Contest Entities") are not eligible to participate. By participating in this Contest, Entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules, and by the decisions of Sponsor, which are final in all matters relating to the Contest, (b) to release and hold harmless the Contest Entities against any and all claims, injury or damage arising out of or relating to participation in this Contest and/or the acceptance or use of the Grand Prize and for any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property related causes of action, (c) acknowledge compliance with these Official Rules; and (d) agree to execute, acknowledge and deliver to Sponsor, in form approved by Company, any and all further assignments, instruments or documents consistent herewith that Sponsor may deem necessary, expedient or proper to carry out and effectuate the purposes and intent of the Contest. Sponsor reserves the right, in its sole discretion, to disqualify any Entrant who is under an agreement which Sponsor deems as contradictory to the nature of this Contest.

  5. To Enter: Visit http://challenge.lookdifferent.org (the "Contest Website") for details. Follow all instructions to complete and submit the online Contest entry form (the "Entry Form"), including submitting a short form treatment in writing based on the Campaign Theme described in Section 2 (the "Treatment"). Treatments may be submitted by individuals ("Individual Entrant(s)") or collective teams of two (2) individuals ("Team(s)"). The term "Entrant" shall be used herein interchangeably to refer to both an Individual Entrant or a Team. As part of the entry process, Entrants will also be required to: (a) agree to the terms of Sponsor's submission release form (the "Submission Release") by signing and uploading a copy of the form along with their entry materials, which Submission Release will be made available for download on the Contest Website and (b) confirm their acceptance of these Official Rules, the Terms of Use of the Contest Website and Sponsor's Privacy Policy (collectively, the "Click-through Terms") located at www.lookdifferent.org/legal/terms-of-use and www.lookdifferent.org/legal/privacy-policy, respectively. The completed Entry Form, the Treatment, the signed Submission Release and acknowledgment and acceptance of the Click-through Terms shall collectively constitute an "Entry"). An Entry submitted on behalf of a Team shall be referred to hereinafter as a "Collaborative Entry"). If submitting a Collaborative Entry, each Entrant on the Team must complete and submit the Entry Form, the Submission Release and Click-through Terms however, only one (1) Entrant on the Team will be required to upload a copy of the Treatment. All Entries submitted in accordance with these Official Rules shall be collectively referred to hereinafter as the "Eligible Entries"). Limit one (1) Entry per Entrant, whether submitting as an Individual Entrant or as part of a Team. Entries will not be reviewed until each member of the Team has completed this entry process.

    Entries must be received within the Entry Period. Each Entry must contain Entrant's original ideas and language and comply with all representations and warranties contained herein. All physical materials submitted in connection with an entry become the property of Sponsor and will not be acknowledged or returned.

    Entries that are incomplete or contain information other than as requested will not be accepted. Entries that have been tampered with or altered are void.

    Technical Requirements:

    Treatments should be based on the Campaign Theme and contemplate a short for video project between fifteen seconds (:15) and five (5:00) minutes in length.

    Treatments should be between 500-1000 words in length

    Treatments must be in .pdf format

    Treatments should not include any characters who are minors.

    Treatments should include a proposed budget not to exceed Twenty Thousand Dollars ($20,000)

    Treatments should not contain profanity or nudity beyond what you'd see on basic cable TV—see specific guidelines below.

    Treatments must be completely original to Entrant and must not have been taken or composed in, whole or in part, from any other source other than the Entrant, and must not have been released commercially in order to be eligible for the Contest.

    Treatments and information collected as part of an Entry will be collectively referred to as the "Entry Materials".

    Without limiting Section 14, all Entrants agree, whether or not selected as Winner (hereinafter defined): (a) that Entry Materials may be used by Sponsor in whole or in part for any purpose whatsoever without any compensation, (b) to hereby grant to Sponsor the non-exclusive, irrevocable right and license to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, create derivate works of, and distribute and synchronize in time related to visual elements, the materials contained in Entry Materials, including, without limitation, to all ideas, gags, suggestions, themes, plots, stories, characters, characterizations, dialogue, text, designs, graphics, titles, drawings, artwork, digital works, songs, music, music compositions, photography, video, film, and other material, whether or not fixed or reduced to drawing or writing, at any time heretofore or hereafter created which in any way relate to the Treatment and/or any portion or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised, throughout the world in perpetuity and (c) not to release any publicity or other materials on their own or through someone else regarding his or her participation in the Contest without the prior consent of the Sponsor, which it may withhold in its sole discretion. Sponsor is not obligated to review, consider, use, publish, display or broadcast any materials submitted with an Entry; provided however that each Entrant acknowledges that Sponsor will rely on such Entrant's agreement and compliance with these Official Rules when Entrant submits or attempts to submit the Entry.

    Entries must comply with the following content guidelines to be eligible:

    Content cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, illegal (e.g., discriminatory, harassing) or display inappropriate activity, behavior or conduct (e.g., inflicting emotional distress) or contain nudity;

    Content cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;

    Content cannot be obscene or offensive, crude or vulgar, endorse any form of hate or hate group, gang signs or symbol;

    Content cannot defame, misrepresent or contain disparaging remarks about other people or companies, including actors in the movie contestant is discussing;

    Content cannot contain trademarks, logos or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, or advertise or promote any brand or product of any kind without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses, websites, webpage links or street addresses;

    Content cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media), without permission, or trespass or the violation of other people's rights or property;

    Content cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission;

    Content cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; Content cannot depict and cannot itself be in violation of these Official Rules, of any law or otherwise;

    An Entry that is otherwise deemed inappropriate by Sponsor, in its sole discretion due to any other conduct, language or other context will be disqualified.

    In submitting an entry into this Contest, each Entrant agrees, confirms, and represents to Sponsor that neither he/she nor anyone else has engaged or taken part in (or induced or encouraged anyone else to do so) in any activity or conduct in connection with this Contest that: (a) may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living thing or any property, (b) may or is likely to create a risk of any other loss or damage to person, living things or property, (c) is or may constitute a crime, unlawful or non-consensual activities (e.g., conduct that could lead to criminal prosecution), tortious conduct (e.g., conduct that could lead to civil prosecution) or the violation or infringement of the rights of any other party, or (d) violates any of the terms or conditions of these Official Rules. Sponsor (and any and all of Sponsor's subsidiaries and affiliates and affiliated broadcast stations and networks) shall have the right to use any materials submitted pursuant to these Official Rules in or on the Contest Website, and in or on any other program, programming channel, broadcast or other public display and performance, at any time in the future, without notice and without compensation, royalty, accounting, liability or obligation of any kind to any Entrant.

    Sponsor reserves the right to reject any Entries that it deems, in its sole discretion, to violate any of the policies of Sponsor's "Standards and Practices Guidelines."

    There is no cost to enter the Contest; however internet access charges may apply. Please check with your internet service provider for current internet access charges, if any.

    Sponsor assumes no responsibility for any internal disputes among members of a Team who are entered into the Contest with regard to an Entry, or any internal disputes among the members of a Team that have collective interest in any Entry submitted in connection with this Contest. Such disputes will not be resolved by Sponsor. In the event that any such dispute or personnel change interferes with the operation of the Contest, Entrants and their collaborators involved in the dispute may be disqualified, in Sponsor's sole discretion.

    Treatments must not have been entered in or won previous contests or awards and may only be entered into the Contest once. In the event of a dispute over who submitted a winning Entry, the authorized account subscriber of the email account used to participate in the Contest at the actual time of entry will be deemed to be the Entrant. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider or other organization responsible for assigning e-mail addresses.

  6. Representations and Warranties: By entering this Contest, each Entrant warrants and represents that: (a) he/she is the sole and exclusive owner of his/her Entry Materials and no payments shall be due by Sponsor to any party(ies) on account of Sponsor's exploitation of the Entry Materials, or any element thereof, in any and all media (now or hererafter known), throughout the universe, (b) Entrant is not represented under contract (e.g., by a talent agent or manager) that would limit or impair Sponsor's ability to display the Entry Materials in any media form, (c) he/she is not are under any other contractual relationship, including but not limited to guild and/or union memberships, that may prohibit him/her from participating fully in this Contest, or from allowing Sponsor to use royalty-free, the Entry Materials worldwide in all media in perpetuity, (d) the Entry Materials comply with these Official Rules, (e) the Entry Materials have not been previously published or produced and are original to Entrant and are not based on any pre-existing work of any kind and does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, (f) the Entry Materials do not violate applicable laws, rules or regulations or defame or invade the publicity rights or privacy of any person, living or deceased and (g) the Entry Materials have not won previous contests or awards and shall not be entered into any other contest or competition during the Entry Period. All representations, warranties, obligations, grants and indemnities of Entrant herein are undertaken jointly and severally by each party comprising Entrant and shall apply to each of them individually as well as to any combination of such parties.

  7. Judging/Judging Criteria: Eligible Entries will be judged in two separate rounds by a panel of qualified judges comprised of MTV producers and executives (the "MTV Judges") on the following criteria: (a) Creative merits of the Treatment, (b) Originality of the Treatment, (c) Engagement: the ability of the Treatment to provoke conversation and (d) Budget: the feasibility of producing a Produced Project (hereinafter defined) based on the Treatment (collectively, the "Judging Criteria"). The first round of judging is expected to take place between October 19, 2015 and October 30, 2015 (the "First Round") to determine up to ten (10) finalists (the "Finalists"). Sponsor reserves the right to select fewer than ten (10) Finalists in the event that there is an insufficient number of Eligible Entries meeting the minimum quality standards, as determined by Sponsor in its sole discretion. The Finalists will then advance to a second round of judging by the Judges to determine the Winners (the "Second Round") whereby each Finalist will be required to submit one (1) sample of his/her prior work (the "Sample Work") which demonstrates his/her writing and/or directorial skills. In additional all Entrants, whether or not selected as a Finalist, may be requested to participate in a phone or video interview with the MTV Judges to clarify information provided as part of their Entries. Finalists must complete the verification process set forth in Section 9 to Sponsor's satisfaction as a condition of advancing to the Second Round. Failure to complete any portion of the verification process will result in disqualification.

  8. Winner Selection Process/Notification: The Second Round is expected to take place between November 9, 2015 through November 13, 2015. During the Second Round, a second panel of judges comprised of industry talent (the "Talent Judges", and together with the MTV Judges, the "Judges") will judge the Finalists' entries applying the Judging Criteria, to select the three (3) winners (each a "Winner" and collectively, the "Winners"). Winners will be announced on or around November 13, 2015.

  9. Finalist/Winner Verification: Finalists must prove eligibility. Sponsor will attempt to contact potential Finalists by the phone number/email address(es) provided on their Entry Forms. If a potential Finalist cannot be reached within the week following the conclusion of the First Round such potential Finalist may be disqualified and an alternate potential Finalist may be selected from among the remaining Eligible Entries received. The final determination of the Finalists/Winners and the application of the Judging Criteria shall be in the sole and absolute discretion of the Judges. To the extent permitted by law, Sponsor disclaims any liability from, and Entrants, whether or not a Finalists/Winner, agree to waive, any claims against each of the Contest Entities relating to the judging or awarding process. Sponsor reserves the right to modify the judging dates and/or the date of the announcement of the Finalists/Winners in its sole discretion. Sponsor reserves the right not to award all prizes or to choose fewer than three (3) Winners if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. In addition, Sponsor reserves the right to select an alternate Winner from among all Eligible Entries received in the event that a selected Winner fails to comply with these Official Rules. Potential Winners must each complete and sign: (a) an affidavit of eligibility and liability to release VMN, Viacom International Inc., any and all sponsors, and each of their respective corporate parents, subsidiaries, affiliated entities, advertising agencies, and any other participating sponsors, and their respective employees, from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of any of promotional opportunities and/or prizes (if received), (b) I9 and any documents verifying employment eligibility which may be requested by Sponsor and (c) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes Entrant's agreement to sign such releases and any and all further assignments, instruments or documents consistent herewith that Sponsor may deem necessary, expedient or proper to carry out and effectuate the purposes and intent of the Contest. Noncompliance by any participant with any requirement in connection with this Contest, including, without limitation, any deadlines set forth by Sponsor, will result in disqualification. Winner additionally will be presented with a contract in a form and containing terms and conditions which are consistent with VMN's standard work for hire agreement where the production commitment is for a single project (the "WFH Agreement"). The WFH Agreement may involve long term exclusive rights to the Winner's services, and accordingly, the Winner is advised to have experienced independent legal counsel review the WFH Agreement before executing the same. VMN agrees to negotiate the terms and conditions of the WFH Agreement in good faith within the usual and customary parameters of agreements of its kind; provided, if VMN and Winner fail to agree on the material terms of the WFH Agreement such that fails to execute the WFH Agreement within sixty (60) days following the date the Winner is selected, Sponsor will not commence production of the Produced Film and Sponsor shall have the option to disqualify the Winner and the Grand Prize may be forfeited. If Sponsor has the right to suspend and/or terminate the services of either party comprising the winning Team hereunder, then, at Sponsor's election, Sponsor may suspend and/or terminate the WFH Agreement as to both individuals comprising the winning Team or only one such person rendering services, in which event the remaining member shall continue to render services pursuant to the WFH Agreement.

    Winner may be required to pass a background check (the "Background Check") to Sponsor's satisfaction in its sole discretion before the Grand Prize will be awarded. Any Background Check will take place after the notification of selection as a potential Winner. If a potential Winner fails any such Background Check, Sponsor reserves the right to disqualify such potential Winner (who will not win any prize) and select another potential Winner, who will be selected from among all remaining Eligible Entries applying the Judging Criteria set forth in Section 7, time permitting.

  10. Grand Prize (3): Each Winner's Treatment will be developed and produced into a short form digital story, under the supervision of MTV in New York, NY or Los Angeles, CA (or other such location as determined by MTV), currently contemplated to be between fifteen seconds (:15) and five (5:00) minutes in length, but subject to change in MTV's sole discretion (the "Produced Project"). Each Winner will render writing, producing and/or directing (as applicable) services in connection with the Produced Project unless MTV, in its sole discretion, deems the Winner incapable. Winner will have no approval over the production of the final Produced Project based on his/her winning Treatment and Winner acknowledges and agrees that VMN will own all rights in the Produced Project based on Winner's Treatment. If requested by MTV, Winner agrees to attend the production of the Produced Project and/or meetings and to participate in publicity events, interviews, or other media events to promote the Produced Project and/or Contest. Produced Projects may be featured, at Sponsor's discretion, across Viacom Media Networks digital and cross-platform programming services (the "Grand Prize(s)").

  11. Grand Prize Terms: The tentative dates for the fulfillment of the Grand Prizes will between November 2015 and January 2016 however such dates are subject to change in Sponsor's sole discretion. If Winner is not available during these dates, the Grand Prize may be forfeited by such Winner and Sponsor may, at its option, select and alternate winner. There is no retail value of the Grand Prize. Winner is solely responsible for consulting with qualified professionals and investigating, understanding and complying with any and all federal, state and local laws, codes, regulations and ordinances which may apply to Winner and the activities and/or business in which such Winner may engage. There may be tax consequences associated with the Grand Prize awarded and with any income received by the Winner, which may include, without limitation, an obligation to report as income and to pay taxes on such funds/income to federal, state and/or local authorities. It is up to the Winner to determine the tax consequences of such funds/income, and to comply with all applicable laws in all respects, if applicable. Upon receipt of the Grand Prize, Winner is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely Winner's responsibility. All materials created by Winner hereunder, and the results and proceeds of Winner's participation in this Contest hereunder and acceptance of the Grand Prize, shall be a work-made-for-hire for Sponsor pursuant to and as set forth in the WFH Agreement.In addition, as a condition of participating in this Contest and accepting the Grand Prize, Winner hereby irrevocably and unconditionally assigns, transfers and conveys to Sponsor, solely and exclusively throughout the universe and in perpetuity, with full title guarantee (and by way of present assignment of present and future rights) and free from all encumbrances, charges, options, licenses or other rights of third parties, all rights of whatsoever kind and nature in and to the Treatment and the Produced Project (collectively, the "Winner Materials"), including without limitation, all copyrights therein (and all underlying rights, concepts, elements and/or materials created and/or controlled by Winner thereto prior or subsequent to the date of commencement of this Contest), and all other "Intellectual Property Rights" (as defined below) and accrued rights of action in the Winner Materials throughout the world for the full unexpired period of such rights and all renewals, reversions and extensions of such period as may be provided under any applicable law throughout the world. As between the parties, Sponsor shall have the right to exploit the Winner Materials in perpetuity worldwide in any and all media (whether now known or hereafter invented).

    "Intellectual Property Rights" means any and all intellectual property rights whether or not registered or capable of registration, including all copyrights, neighboring rights, trademarks, patents and any and all other ownership and exploitation rights in the Winner Materials now or hereafter recognized in any and all territories and jurisdictions, including by way of illustration, production, reproduction, distribution, adaptation, performance, fixation, rental and lending rights, exhibition, broadcast and all other rights of communication to the public, and the right to exploit any element of the Winner Materials throughout the universe in perpetuity in all media, markets and languages and in any manner now known or hereafter developed or devised.

    It is understood that Sponsor shall have the unqualified right at all times to engage other artists, employees and consultants to work on the Produced Project. Further, Entrant acknowledges and agrees that Sponsor shall not be obligated to develop, produce, exhibit, distribute, advertise or otherwise exploit the Produced Project, the Winner Materials and/or any of the rights granted to Sponsor pursuant to the WFH Agreement.

  12. Sponsor-Produced Programming: Sponsor may produce a film/video of the Winner(s) during the course of the Grand Prize fulfillment well as other material during the course of fulfillment of the Grand Prize and ancillary material captured during or relating to the Grand Prize events, which may or may not be produced in association with a sponsor. All film/video/photo/audio/written material and programming created by Sponsor will be referred to as "Programming". Sponsor shall be the exclusive owner of the copyright and other rights in and to the Programming. Sponsor, its subsidiaries, affiliates, affiliated broadcast stations and networks and licensees will be able to use the Programming forever and throughout the world, and to license others to use it, in any manner Sponsor wishes and in any and all media now known or hereafter discovered or developed without notice, including for advertising, promoting and publicizing any of its products or services, such use may include portions and excerpts, in addition to cut in synchronized, dubbed and superimposed versions of the Programming. By participating in Grand Prize-related events, Winner acknowledges that Sponsor may use the Programming in accordance with the permission granted herein without any compensation, royalty, payment, liability or obligation to the Winner or any third party. Sponsor is under no obligation to broadcast or otherwise exploit the Programming.

  13. General Terms: Noncompliance with these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY A WINNER (WHETHER INDIVIDUALLY OR AS PART OF A TEAM) THAT MAY, IN ANY OF THE CONTEST ENTITIES' GOOD FAITH DETERMINATION, BRING ANY OF THE CONTEST ENTITIES OR ANY ACTIVITY RELATED TO THE CONTEST OR THE GRAND PRIZE INTO DISREPUTE OR OTHERWISE SHED A NEGATIVE LIGHT ONTO ANY OF THE CONTEST ENTITIES OR ANY OTHER ACTIVITIES ASSOCIATED WITH THE CONTEST WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A WINNER OF THIS CONTEST AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the Grand Prize or the Winners. If, for any reason, the Contest is not capable of running as planned, including, without limitation, changes in Sponsor's on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest. Past experience has confirmed that contests and other competitions generate substantially similar submissions or Entries which closely resemble concepts and ideas that have been independently developed by Sponsor before or after the Contest. Accordingly, Entrants may subsequently see a Sponsor presentation which seemingly incorporates an idea or concept or includes materials similar to that contained in their Entries. Any similarity is purely coincidental and unavoidable in light of the volume of ideas which Sponsor routinely considers in the course of its program development. Because of this possibility, Entrants hereby agree to submit their Entries under the following terms and conditions: (a) that Sponsor may use any ideas, concepts, material, or expression in whole or in part, contained in an Entry, for any purpose whatsoever, without any compensation (except as provided herein with respect to the Winners), (b) that all physical materials submitted become the property of Sponsor and will not be returned, (c) Entrants have obtained all rights, permissions and licenses necessary to use the materials submitted in connection with an Entry for any purpose, (d) that no Entry, or any part thereof, infringes any trademark or copyright or otherwise violates anyone's right of privacy or publicity, (e) by submitting an Entry, Entrants consent to Sponsor exhibiting all materials contained therein, including, without limitation, the Produced Project in all media now known or hereafter devised and (f) Entrants indemnify and hold harmless Sponsor, its parent and affiliates, from any claims, suits, losses damages and expenses (including reasonable attorneys' fees) that arise from any breach of the foregoing conditions. All Entrants agree to the foregoing and in addition agree to obtain, upon request of Sponsor, any documentation and releases necessary to prove: (i) their unrestricted ownership in all materials contained in their Entries and (ii) Sponsor's right to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, create derivative works of, and distribute and synchronize in timed relation to visual elements the foregoing materials without limitation for any purpose), without compensation to entrants. Entrants further agree, if chosen as a Winner: (y) to assign all right, title and interest in the Produced Project and Entry Materials to Sponsor and agree to sign such documentation as is necessary to formalize this assignment.
